By accessing our website, submitting a project brief, or retaining our services, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
1. Commercial Services & Statements of Work (SOW)
Quixora provides professional digital agency services, including website design and engineering, Shopify e-commerce development, brand identity design, paid advertising management (Meta & Google Ads), search engine optimization, and strategic growth advisory.
All client engagements are governed by an individual Statement of Work (SOW), project brief, or formal electronic proposal detailing the specific project scope, deliverables, milestone schedules, and agreed fees. In the event of any conflict between these general Terms and a signed SOW, the provisions of the specific SOW shall prevail.
2. Client Obligations & Approvals
To ensure scheduled sprint delivery, the client agrees to:
- Provide all required brand assets, project information, text copy, imagery, and necessary administrative access credentials in a timely manner.
- Review submitted deliverables, design drafts, and staging links, providing consolidated feedback or written milestone sign-off within five (5) business days of receipt.
- Warrant that all materials, assets, and trademarks provided to Quixora for use in project execution are legally owned by the client or properly licensed, and do not infringe any third-party intellectual property rights.
Delays in providing required feedback or access credentials will automatically adjust subsequent project delivery schedules accordingly.
3. Third-Party Platforms & Advertising Networks
Clients engaging Quixora for paid advertising management, e-commerce development, or third-party integrations acknowledge and agree that:
- Direct Media Spend: All advertising budgets (ad spend) are billed directly by the respective third-party advertising networks (such as Meta Ads or Google Ads) to the client’s designated payment method on file. Agency management retainers are entirely separate from ad spend.
- Platform Disclaimers: Third-party platforms (including Meta, Google, Shopify, and cloud hosting providers) operate under their own independent terms of service, editorial policies, and algorithmic changes. While Quixora adheres to established platform best practices, we are not liable for platform-wide outages, API deprecations, or policy restrictions enforced by third-party ad networks.
4. Intellectual Property Rights & Deliverables
We believe in complete commercial transparency and client sovereignty:
- Client Ownership: Upon receipt of full payment for the relevant project milestone or engagement, all custom brand identities, custom graphics, ad creatives, and proprietary website source code developed specifically for the client become the sole intellectual property of the client.
- Studio Retained Rights: Quixora retains all right, title, and interest in its pre-existing code libraries, reusable development components, design templates, and internal proprietary methodologies developed independently of the client engagement.
- Portfolio Display: Unless expressly prohibited under an executed non-disclosure agreement (NDA), Quixora reserves the standard commercial right to display non-confidential project deliverables and case studies in our agency portfolio and marketing materials.
5. Commercial Invoicing & Payment Terms
Project fees and retainer billing are structured as follows:
- Project sprints typically require an initial deposit upon project kickoff, with remaining balances tied to defined deliverable milestones or pre-launch approval.
- Monthly advertising and growth retainers are billed in advance on a 30-day recurring cycle.
- Invoices are issued in Indian Rupees (INR / ₹) for domestic clients, or in authorized foreign currencies for international engagements via compliant electronic banking channels.
- All stated fees are exclusive of applicable taxes, statutory withholdings, and government levies as prescribed under Indian tax laws.
6. Performance & Commercial Disclaimer
Quixora executes digital marketing, design, and web engineering campaigns in accordance with professional industry standards. However, actual commercial turnover, sales conversion rates, lead qualification, and return on ad spend (ROAS) depend upon multiple factors beyond agency control, including market competition, consumer demand, pricing strategy, product availability, and customer service fulfillment. Accordingly, Quixora expressly disclaims speculative guarantees of specific commercial turnover or profit margins.
7. Limitation of Liability
To the maximum extent permitted by applicable Indian law, Quixora’s total aggregate liability arising out of or related to any service engagement, whether in contract, tort, or otherwise, shall be strictly limited to the total fees actually paid by the client for the specific service or deliverable giving rise to the claim during the three (3) months preceding the incident.
In no event shall Quixora be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunity.
8. Termination
Either party may terminate an ongoing service retainer by providing thirty (30) days written notice. In the event of early termination, the client remains responsible for payment of all work completed, creative assets delivered, and authorized expenses incurred up to the effective termination date.
9. Governing Law & Jurisdiction
These Terms and any commercial agreements between Quixora and its clients shall be governed by, construed, and enforced in accordance with the substantive laws of the Republic of India. Any disputes, controversies, or claims arising out of or in connection with these Terms or services rendered shall be subject to the exclusive jurisdiction of the competent courts of India.
